BLANCO ABOGADOS
A real estate investment should be assessed before a deposit is paid, a reservation is signed or a binding commitment is assumed. The commercial attractiveness of a property does not replace the need to verify ownership, encumbrances, planning status, contractual terms and the legal structure of the transaction.
Blanco Abogados advises buyers, property owners and investors in transactions involving the Dominican Republic and Spain. We coordinate the legal review, negotiation, execution and registration of the acquisition so that each decision is based on verified information.
Our review begins with the identity and legal capacity of the seller, the origin of title, the registry information and the existence of mortgages, charges, litigation or restrictions affecting the property.
We also examine the proposed contract, payment schedule, conditions precedent, penalties, guarantees and the consequences of termination before the client assumes a significant financial obligation.
The physical existence of a property does not by itself establish its legal status. We compare registry information, cadastral or survey documentation, planning permissions, construction records and the actual occupation and use of the property.
Where the transaction takes place in the Dominican Republic, we coordinate the documentation required for transfer, registration and the payment of transfer tax when applicable. Where assets or financing are connected with Spain, we assess their effect within the same transaction.
Off-plan acquisitions require particular scrutiny of the developer, the ownership or control of the land, the permits obtained, the construction timetable, the use of advance payments and the guarantees offered to the buyer.
We review reservation documents, promises of sale and construction agreements, identify the conditions that must be satisfied before further payments are made and define the remedies available in the event of delay, alteration or non-performance.
The acquisition may be made directly, through a company or as part of a wider family or business investment. The appropriate structure depends on the purpose of the property, the source of funds, the identity of the investors and the jurisdictions involved.
We coordinate the contractual, corporate, registry and notarial aspects of the transaction, as well as the professionals whose intervention is required, so that the purchase, financing and future ownership of the asset form part of one coherent legal structure.
We act in disputes concerning title, breach of sale or construction agreements, defects, delays, deposits, possession, co-ownership, boundaries and the recognition or enforcement of obligations connected with real property.
The contract, title, financing, registration and potential dispute must be considered as parts of the same legal transaction.
